Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the BoldPath Mavericks website and the Ask Benton subscription product (together, the "Services"), operated by BoldPath Mavericks LLC ("BoldPath," "we," "us"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 16 years old to create an account. If you access the Services on behalf of a company, you represent that you are authorized to bind that company to these Terms.

3. Account registration

Ask Benton requires an account. We use Clerk to manage authentication. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at support@boldmavericks.com if you suspect unauthorized access.

4. Subscriptions and billing

  • Paid subscriptions to Ask Benton renew automatically at the interval you selected until canceled.
  • All payments are processed by Stripe. You authorize us and Stripe to charge your payment method for the subscription fee plus applicable taxes.
  • You may cancel at any time through your account billing page. Cancellation stops future renewals. Unless we indicate otherwise, paid fees are non-refundable.
  • We may change prices. We will give at least 30 days' notice before a price change affects your renewal.
  • If a payment fails and is not cured within a reasonable grace period, we may suspend or revoke access.

5. Acceptable use

You agree not to:

  • Use the Services to violate any law or the rights of any third party.
  • Reverse engineer, scrape, or automate access to the Services except via interfaces we expressly provide.
  • Attempt to circumvent authentication, rate limits, or other security controls.
  • Submit content that is illegal, harassing, defamatory, or infringes the intellectual property of others.
  • Use the Services to generate content that enables harm, fraud, malware, or targeted harassment.
  • Share your account with others or resell access.

We may suspend or terminate accounts that violate this section.

6. Your content and license to us

You retain ownership of the messages and materials you submit ("Your Content"). You grant BoldPath a limited, worldwide, royalty-free license to host, process, transmit, and display Your Content solely to operate and improve the Services. You are responsible for Your Content and for ensuring you have the rights to submit it.

7. AI-generated output and disclaimers

Ask Benton uses large language models via Microsoft Copilot Studio to generate responses. AI output can be inaccurate, incomplete, or inappropriate for your specific situation. Output is provided for informational purposes only and is not professional, legal, financial, tax, medical, or other regulated advice. Verify anything important with a qualified expert before acting on it.

8. Our intellectual property

The Services, including the software, design, and documentation, are owned by BoldPath or our licensors and are protected by intellectual property laws. We grant you a personal, limited, non-exclusive, non-transferable right to use the Services while your subscription is active and in good standing.

9. Third-party services

The Services rely on third parties including Clerk, Stripe, Microsoft, Vercel, Resend, and Cloudflare. Your use of those services is subject to their respective terms. We are not responsible for third-party services we do not control.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOLDPATH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOLDPATH AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS, WHICHEVER IS GREATER.

12. Indemnification

You will defend, indemnify, and hold BoldPath harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

13. Termination

You may stop using the Services at any time and close your account from your account page. We may suspend or terminate your access at any time for any reason, including violation of these Terms. On termination, your right to use the Services ends and we may delete your data consistent with our Privacy Policy.

14. Governing law and dispute resolution

These Terms are governed by the laws of the State of Arkansas, without regard to conflict of law rules. Any dispute arising out of or relating to these Terms will be resolved exclusively in the state or federal courts located in Benton County, Arkansas, and you consent to that jurisdiction. Nothing in this section prevents either party from seeking injunctive relief in an appropriate court to protect intellectual property rights.

15. Changes to the Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be announced through the product or by email. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
